The shortlist

  • Design-and-build model: you commission a custom box design with us. We manufacture the run (MOQ 30 boxes per design), warehouse the inventory, and ship from your inventory when you trigger sends from the app. 1 box = 1 credit in the inventory ledger.
  • Refund on failure: we refund the inventory credit on any undelivered send, automatically. We refund the credit on any send that delivers but is never opened (the IoT lid sensor doesn't fire within 14 days).
  • Pilot guarantee: our 30-day pilot terms include a success bar — ≥40% engagement rate and ≥1 sourced opp. If we miss it, you don't pay for the pilot.
  • Recipient consent: you represent that recipients on your send lists are valid B2B contacts with whom you have a lawful business reason to correspond. We don't ship to consumer addresses or to recipients who have opted out.
  • Acceptable use: no spam, no fraud, no shipments impersonating other companies, no political campaigns. Full acceptable-use policy below.

1. Definitions

"boxli," "we," "us" means boxli, Inc. "You" means the operator entering into this agreement, whether on behalf of yourself or your organization. "Recipient" means an individual to whom a boxli send is addressed.

2. The platform and the design-and-build model

We provide: (a) the boxli software platform, (b) the co-design service for your custom box, (c) the manufacturing of the physical box and IoT video brochure components, (d) the warehousing of your manufactured inventory, and (e) the fulfillment services required to deliver each box when you trigger a send. You provide: the contact list, the video content (or have us generate it), the per-send landing page, the per-send handwritten note copy, and the campaign configuration.

3. Designs, inventory, and billing

3.1 Custom designs. Each "design" is a unique box specification (gift, packaging, brochure spec, default landing page) co-built with our team and approved by you in writing before we manufacture. You may run multiple designs in parallel; each design is its own inventory line in the app, with its own name and tag.

3.2 MOQ. Each design has a minimum order quantity of 30 boxes, set by manufacturing economics on the IoT brochure run. We may revise the MOQ for future runs as manufacturing relationships evolve; existing inventory is not affected.

3.3 Inventory ledger. Manufactured boxes are held in our warehouse against your account as inventory credits — 1 credit per box per design. Inventory credits do not expire, but unused inventory after termination of your subscription is governed by §8.

3.4 Billing. Designs are billed at the per-box price quoted on the design call, due in two installments: 50% on order placement, 50% on inventory landing in our warehouse. Subscription fees (if any) are billed monthly or annually. The platform does not charge a separate per-send fee on top of the per-box price.

4. Refunds

For purposes of this section, a send is "delivered" when our FedEx integration returns a delivered status for the shipment's tracking number, and is "undelivered" if FedEx returns refused, returned-to-sender, or undeliverable-as-addressed.

Inventory credits auto-refund on any send that is undelivered per the definition above, subject to the force-majeure carve-out in §4.1. Inventory credits also auto-refund if the IoT lid sensor fails to register an open event within 14 days of confirmed delivery, subject to the same carve-out. We do not refund inventory credits for sends that deliver, open, and generate no further engagement. Refunds are issued back to your inventory ledger, not to your payment method.

4.1 Force majeure. The auto-refund right is suspended for sends affected by carrier-wide service disruptions, natural disasters, customs or regulatory holds, war or civil unrest, internet or cloud-provider outages of more than four hours, recipient address errors supplied by you, and other events outside our reasonable control. We will issue a refund or re-ship at our discretion in those cases on request.

4.2 Manufactured-but-unshipped inventory. Once a design has been manufactured, the per-box manufacturing cost is non-refundable. If you choose to wind down a design with remaining inventory, you may continue triggering sends against it (subject to active subscription), or arrange a final batch send-off. We do not buy back un-shipped inventory.

5. Recipient consent and acceptable use

You represent that every contact on your send list is a valid B2B business contact with whom you have a lawful basis to correspond. You agree not to use boxli for: consumer marketing, political campaigns, fraudulent or impersonating sends, hateful or illegal content, or any send to a recipient who has opted out via optout@sendaboxli.com. We reserve the right to halt any campaign that violates these terms.

6. Data ownership

Your operator data (account, contact lists, campaign content) remains yours. The engagement signal data generated by boxli on your behalf is licensed to us for product analytics in aggregate, anonymized form (see Privacy Policy) and is otherwise yours.

7. Service levels

We target 99.9% platform uptime. Manufacturing SLA: first run of a new design completes ~2 weeks from proof-approval to inventory landing in our warehouse; re-runs of an existing approved design complete in 5–7 days. Fulfillment SLA: sends triggered before 2pm local time on a business day pull from inventory and ship same-day; sends triggered after 2pm ship next business day. Our engagement-signal pipeline is designed to land events in your CRM in under one second under normal load; measured latency targets, once published in our status page, will become the binding SLA. Until then, the latency language elsewhere on this site is a design goal, not a committed service level.

8. Termination

You may cancel your subscription at any time. We may suspend or terminate accounts that violate the acceptable use policy or that are 60+ days past due on payment. On termination, your data is retained for 90 days then deleted (see Privacy Policy §7).

9. Limitation of liability

To the maximum extent permitted by law, our liability for any claim arising under this agreement is capped at the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

10. Changes

We may update these terms; if we do, we'll notify operators by email at least 30 days before the change takes effect. Continued use of the platform after the effective date constitutes acceptance.
